He advises clients making critical decisions at every stage of an entity’s development, from enterprise organization and initial funding/structuring, to day-to-day counseling and ordinary course contracts and business transactions, to mergers and acquisitions and other liquidity events. Mr. Brenneman’s practice is as diverse and dynamic as the companies and principals he represents. Current and former clients of Mr. Brenneman range in size from 0-$145M EBITDA and include general contractors; software developers; asset-based lenders; BPO providers; online retailers; IT consultants; media and marketing companies; inventors; private investment funds; educational technology companies; and franchisees of leading retail brands like Midas Muffler, Sterling Optical and Sylvan Learning Systems. With over thirty years of experience, Mr. Brenneman is a seasoned professional, tough negotiator, and meticulous draftsman with a pragmatic results-oriented approach informed by the big picture and focused on getting the deal done while protecting clients against downside risk.
Mr. Brenneman is a graduate of Duke Law School (1986), where he served as managing editor of the Duke Legal Research Program, and Tufts University, from which he graduated magna cum laude with a B.A. in English and History (1983). Mr. Brenneman is admitted to practice law in Maryland, Massachusetts and Connecticut.
